About the opportunity

We are looking for a (Senior) Executive Associate, Corporate Governance to be responsible for the organisation, preparation and documentation of board and committee meetings as well as the creation and updating of procedures, processes, and corporate governance topics (including the SfO / written order) and the implementation of new rules and regulations. The (Senior) Executive Associate, Corporate Governance will partner with the Corporate Legal team, Compliance, and Risk Management teams, as well as the CEO Office (especially the executive assistants to the members of the N26 AG Management Board and the members of the Executive Leadership team).

Objectives: 

  • Ensuring Compliance: To ensure that committee processes are in compliance with N26’s corporate governance practices and legal requirements, in particular with regards to proper documentation of key decision-making processes. 

  • Policy Development: To review and update policy and process documentation related to committees

  • Stakeholder Management: To regularly engage with key stakeholders to ensure committee processes are adhered to and project timelines are met.

In this role, you will:

  • Committee Preparation & Stakeholder Management, including quality assurance and the implementation of minimum standards for the preparation of committee meeting material.

  • Ensure compliance with the Rules of Procedure of respective committees, and to perform an annual review of the Rules of Procedure to ensure that they are in line with regulatory requirements.

  • Conduct annual assessments of committees’ effectiveness. 

  • Documentation of committee meetings and ensuring the integrity and appropriate storage of the documents are maintained. 

  • Regularly engage with the Executive Assistants of Supervisory Board Committee Chairs to ensure that the Chairs are prepared for upcoming meetings.

  • Regulatory screening of regulation regarding the governance of the Management Board and Supervisory Board, also in view of upcoming strategic projects.

  • Provide support for the preparation of Supervisory Board meetings and its committees.

  • Facilitate special projects.

  • Provide access to internal documentation in the context of internal and external audits in close alignment with the CEO Office and management, also on short notice.

  • Participate in and contribute to team meetings, including facilitation of any follow-up action items.

  • Review submissions to the N26 management and assess and edit for clarity, style, purpose or objective, and desired outcomes.

  • Update business processes in the process management tool.

  • Complete regulatory screening assessments shared by Group Compliance on a monthly basis.

  • Manage approvals via the document signature tool. 

  • Provide support to internal stakeholders for requests relating to corporate governance practices

  • Contribute to the content of the annual reports.

  • Maintain training and mandate registers relating to the Supervisory and Management Boards.

  • Maintain processes relating to legal entity and branch governance.

  • Facilitate the documentation required for the induction of new Supervisory Board and Management Board members.

  • Maintain the deputy regulations registers for N26 AG and N26 Bank AG.

What you need to be successful:

Background: 

  • University degree in the area of economics, law or business administration

  • More than 3 years of relevant work experience in the financial services industry, dynamic and fast-paced environments are preferred.

  • Previous experience with supporting Senior Managers or Leaders would be a plus. 

  • Project management experience would be beneficial. Previous experience in organising an annual general meeting would be an asset. 

Skills: 

  • Strong interpersonal skills and fluent/native business-level English. A sound level of German would be preferred. 

  • Works at a fast pace, while still delivering high quality.

  • Experience in working in a regulated environment, knowledge of German banking regulation and corporate governance topics.
